Terms of Service
Last updated: October 10, 2026
1. About These Terms
These Terms of Service ("Terms") are an agreement between you and NaviPal Limited, a company registered in New Zealand ("NaviPal", "we", "us"). They apply to the NaviPal mobile apps, the website at navipal.io and our related services (together, the "Service").
By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use the Service.
2. The Service
NaviPal helps you plan and run trips. Features include:
- Day-by-day itineraries and calendar views
- Importing bookings by forwarding emails to trips@navipal.io
- Flight status, check-in and "leave by" alerts
- Sharing trips with other people, trip chat, and nearby chat over Bluetooth
- Shared expenses in multiple currencies, receipt scanning and settling up
- An AI trip assistant
- Saving trips and documents for offline use
- Travel history and data export
The Service is currently free. If we introduce paid features, we will tell you the price and terms before you buy, and you will never be charged without agreeing first.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, or under the age of majority where you live, you must have permission from a parent or guardian, who agrees to these Terms on your behalf.
4. Your Account
You need an account to use most of the Service. Please give accurate information and keep it up to date. You are responsible for keeping your sign-in details secure and for what happens under your account. Tell us straight away at support@navipal.io if you think someone else has used your account.
5. Acceptable Use
You agree not to:
- Break any law, or use the Service for anything illegal or fraudulent
- Harass, threaten, bully or abuse other people, or post content that is hateful, sexually explicit, violent or otherwise objectionable
- Send spam or unsolicited messages, including through trip invitations or chat
- Upload viruses or other harmful code
- Try to get unauthorised access to the Service, other people's accounts or our systems, or interfere with how the Service works
- Impersonate anyone, or misrepresent your connection with anyone
- Scrape, copy or access the Service by automated means without our written permission
- Use the Service to build a competing product
6. Your Content
You keep ownership of everything you add to the Service, including trip details, notes, photos, files, messages and forwarded emails ("Your Content"). You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and display Your Content only as needed to provide, secure and improve the Service, including sharing it with the people you choose. This licence ends when Your Content is deleted from the Service.
You are responsible for Your Content and must have the right to add it. We do not review all content, but we may remove content that breaks these Terms or the law.
7. Other People's Information
Trips often include other people's information, such as the names and booking details of people you travel with. Only add or forward information you are entitled to share, and only invite people to a trip if you are happy for them to see what is in it.
8. Sharing and Chat
Everyone you invite to a trip can see its details, expenses, chat, saved Wi-Fi details and files, according to the access you give them. If you create a share link or calendar link, anyone who has it can view the trip's schedule, so share links carefully; you can turn sharing off at any time. Chat messages, including nearby chat over Bluetooth, are visible to the people on the trip. We are not responsible for what other users do with information you share with them.
9. AI Features
Some features use AI to read emails, receipts and photos, and to answer questions and suggest changes to your trips. AI output can be incomplete or wrong. Check imported bookings, amounts and suggestions before you rely on them. The AI trip assistant only changes your trip when you approve a change, and you are responsible for the changes you approve. You can report an assistant response from the chat if it is wrong or harmful.
10. Travel Information and Alerts
Flight status, gate and check-in information, weather, maps, addresses, opening times, travel times and "leave by" reminders come from third parties or are estimates. They can be late, incomplete or wrong, and notifications may be delayed or not arrive at all. Always confirm important details with your airline, accommodation or other provider. NaviPal is a planning aid; you remain responsible for getting to your flights and bookings on time and for meeting entry, visa and travel requirements.
11. Expenses and Payments
NaviPal records expenses and works out who owes what. It is not a payment, banking or money transfer service: no money moves through NaviPal, and settling up only records a payment you make elsewhere. Currency conversions use indicative exchange rates and are for guidance only. You are responsible for any payments you make between yourselves.
12. Third-Party Services
The Service links to and relies on services run by others, such as airlines, mapping and navigation apps, weather providers and sign-in providers. We are not responsible for their content, availability or practices, and their own terms apply when you use them.
13. Intellectual Property
The Service, including its software, design, text and graphics, and the NaviPal name and logo, belong to NaviPal or our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial travel planning, in line with these Terms. You must not copy, modify, distribute or reverse engineer the Service except where the law allows it.
14. Privacy
How we collect and use personal information is explained in our Privacy Policy, which forms part of these Terms.
15. Disclaimers
We work hard to keep NaviPal reliable, but we provide the Service "as is" and "as available". We do not promise that it will always be available, uninterrupted, secure or error-free, or that information in it will be accurate or complete. Please keep your own copies of important travel documents.
Nothing in these Terms limits any rights you have under consumer protection laws that cannot be excluded, including the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, the Australian Consumer Law, and the consumer laws of the UK and the EU. If you use the Service for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.
16. Limitation of Liability
To the extent the law allows, NaviPal is not liable for any indirect or consequential loss, or for loss of profits, revenue, data, bookings or travel arrangements (such as missed flights or connections), arising from your use of the Service.
To the extent the law allows, our total liability to you for all claims relating to the Service is limited to NZ$100 or, if more, the amount you paid us for the Service in the 12 months before the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by our negligence, or for fraud.
17. Indemnity
If you break these Terms or the law in using the Service, and that causes a claim against us by someone else, you agree to cover our reasonable losses and costs from that claim, to the extent the law allows.
18. Suspension and Termination
You can stop using the Service and delete your account at any time (in the app: Profile → Manage Data → Delete My Account). Deletion works as described in our Privacy Policy, including a 30-day period in which you can change your mind. You can export your data before deleting.
We may suspend or close your account, or remove content, if you seriously or repeatedly break these Terms, if we must do so by law, or to protect other users or the Service. Where reasonable, we will tell you first and explain why. We may also stop offering the Service; if we do, we will give you reasonable notice so you can export your data.
19. Changes to the Service and These Terms
We keep improving NaviPal, so features may change, be added or be removed. We may update these Terms from time to time. If a change materially affects you, we will tell you by email or in the app at least 30 days before it takes effect. If you do not agree with the changes, you can stop using the Service and delete your account before they take effect; if you keep using it after that, the new Terms apply.
20. App Stores
If you downloaded NaviPal from the Apple App Store or Google Play, these Terms are between you and NaviPal only, not Apple or Google, and NaviPal (not Apple or Google) is responsible for the app and its content. Apple and Google have no obligation to provide maintenance or support for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use of the app must also follow the store's own terms of service.
21. Governing Law
These Terms are governed by the laws of New Zealand, and the courts of New Zealand have jurisdiction over any dispute. If you are a consumer living elsewhere, you also keep the protection of the mandatory laws of your country and can bring proceedings in your local courts.
22. General
These Terms, with our Privacy Policy, are the whole agreement between you and us about the Service. If any part of them is found unenforceable, the rest stays in effect. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under these Terms; we may transfer ours to a business that takes over the Service, as long as your rights are not reduced.
